This agreement provides its services to you subject to the Terms and Conditions contained in this Service Agreement. If you visit or shop, or participate in consultations, support groups or workshops at HHC.com, you accept these Terms and Conditions.

The information presented by HHC.com is not intended as medical advice or as a substitute for medical treatment. Nothing stated or presented on this Website or in consultations, support groups or workshops are intended to be a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health care provider if you have any questions regarding a medical condition, your mental or physical health, or any other matter related to your health, finances and well-being.

These terms and conditions are relevant to all HHC.com materials and coaching. By participating in any HHC.com consultations, groups, workshops or using any of its materials, you are signifying your acceptance of and obligation to these terms and conditions. If you have objections to the following Terms and Conditions, you should not register for or attend the any HHC.com consultations, groups, workshops, or use any of its materials.

Liability Waiver

While I take every possible measure to ensure your safety and well being, you, in all my consultations, support groups or workshops, I cannot control everything. For this reason, you, as the Client and Attendee, are legally responsible for your safety, well-being, finances and actions/ behavior, and agree to be legally liable to the following statements:

I, the willing Client and Attendee, hereby accept all risk to my health, mental attitude and response, finances, injury or death that may result from participating in the HHC consultations, support groups or workshops, or materials. I hereby release Michelle Baumgartner, and any HHC employees, speakers, interns, and representatives from any and all liability to me, my personal representatives, estate, heirs, next of kin, and assigns for any and all claims and causes of action for loss of or damage to my property and for any and all illness or injury to my person, including my death, that may result from or occur during my participation at the HHC consultations, support groups or workshops, whether caused by negligence of the Consultant, its governing board, employees, or representatives, or otherwise. I further agree to indemnify and hold harmless Michelle Baumgartner, and any third-party company from liability for the injury or death of any person(s) and damage to property that may result from my negligent or intentional act or omission while attending and participating in the consultations, support groups or workshops. Under no circumstances will Michelle Baumgartner, and any third-party company or assigns be held liability for my injury or death or any loss or damage of my personal belongings resulting from my participation. Should I require emergency medical treatment as a result of accident or illness arising during my attendance and participation, I consent to such treatment. I acknowledge and I agree to be financially responsible for any medical or legal bills that may be incurred as a result of emergency medical treatment.

I will notify Michelle Baumgartner both verbally and in writing if I am at any time injured prior to, during, or after the my attendance of any consultations, support groups or workshops, or if I have medical conditions about which emergency medical personnel should be informed.

I understand that Michelle Baumgartner and affiliate are not legally obligated to act on that information in any way or to providing any medical service whatsoever to me. I agree that if I have any medical or psychological conditions that may hamper me from fully and healthfully participating in the consultations, support groups or workshops that I will notify Michelle Baumgartner and that the Michelle Baumgartner retains the right to ask that I not participate in portions of or the entirety of the consultations, support groups or workshops.

Confidentiality and Non-Compete

Client and Attendee hereby understands that the tools, processes, strategies, materials and information presented in the consultations, support groups, workshops and materials offered, are strictly confidential, copyrighted, and proprietary to Michelle Baumgartner of HHC.com, and agrees not to record, duplicate, distribute, summarize, teach or train from the materials in any manner whatsoever without the express written permission of Michelle Baumgartner.

Children under the age of 15 are not permitted to attend without written permission by Michelle Baumgartner, and a parent or guardian throughout the support groups and workshops must accompany teenagers between 15-17 years old.

The Client and Attendee agrees to use no words of profanity; will not mention people’s full names in their communication unless agreed upon in writing; will keep all other attendees verbal contributions and expressions strictly confidential and kept within the HHC meetings and workshops.

Respect, honor and kindness to all participants must be upheld at all times. These are the fundamental and necessary qualities of the HHC approach.

Audio/Visual Rules and Release

Attendees may not, under any circumstance, use any type of recording device to capture the information provided at the consultations, support groups or workshops. No recording devices, photography or videographer is allowed in the room.

HHC.com, and the related logos and other marks indicated on our Website are the exclusive property and trademarks of HHC.com reserves all rights, including all rights applicable under the U.S. and international trademark laws, including, without limitation Section 1125 of Title 15 of the U.S. Code (Lanham Act Sec. 43). All other trademarks not owned by HH C.com that appear on this Website are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by HHC.com.

INDEMNITY

You agree to defend, indemnify, and hold HHC.com and Providers harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these Terms and Conditions.

LIMITATION OF LIABILITY AND INDEMNIFICATION

IN NO EVENT WILL HHC.COM BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES ARISING OUT OF (I) THE USE OF OR INABILITY TO USE THE WEBSITE. MATERIALS OR THE USER CONTENT, (II) ANY TRANSACTION CONDUCTED THROUGH OR FACILITATED BY THE WEBSITE; (III) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE WEBSITE AND/OR THE USER CONTENT, (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, OR (V) ANY OTHER MATTER RELATING TO THE WEBSITE, MATERIALS OR THE USER CONTENT, EVEN IF HHC.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. You agree to comply with the Terms. You also agree to indemnify, defend, and hold harmless HHC.com and its Affiliated Parties for your violation of the Terms, including but not limited to any claims, actions in equity, direct damages, indirect damages, incidental damages, special damages, consequential damages, punitive damages, and/or any other tangible or intangible loss resulting from or in connection with your violation of these terms.

DISCLAIMERS AND WARRANTIES

THE PRODUCTS, SERVICES, INFORMATION, AND DATA PROVIDED BY HHC.COM AND ITS AFFILIATED PARTIES ON THE WEBSITE OR OTHERWISE (“PRODUCTS”, CONSULTATIONS, WORKSHOPS, SUPPORT GROUPS) ARE PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HHC.COM EXPRESSLY DISCLAIMS ANY REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES, SUCH AS THOSE FOR FITNESS FOR A PARTICULAR PURPOSE AND MERCHANTABILITY. MVB-Health AND ITS AFFILIATED PARTIES MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE USE, RESULTS FROM THE USE, ACCURACY, RELIABILITY, SECURITY, AND/OR SAFETY OF THE PRODUCTS. ANY OF THE PRODUCTS OBTAINED OR USED BY YOU THROUGH YOUR REGISTRATION FOR, USE OF, OR ACCESS TO THE WEBSITE IS AT YOUR SOLE RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE OR LOSS TO YOU, YOUR COMPUTER SYSTEM, CELL PHONE OR SIMILAR DEVISE, YOUR DATA, AND/OR ANY THIRD PARTY RESULTING FROM YOUR OBTAINMENT OR USE OF ANY OF THE PRODUCTS.

GOVERNING LAW

The Terms, and any subsequent modifications, shall be deemed executed in the state of Oregon and shall be governed by and construed in accordance with the laws of the state of Oregon without giving effect to conflicts of law principles. You irrevocably agree to the exclusive jurisdiction of the courts located within the state of Oregon for any claim, dispute, or matter arising out of, in connection with, or concerning the Terms. You waive any objection to proceedings in such courts on the grounds of venue or inconvenient forum. Nothing in this clause shall limit the right of HHC.com or its Affiliated Parties to take proceedings against you in any other court of competent jurisdiction to the extent permitted by the laws of such other jurisdiction.
